1. Introduction

These Terms of Service ("Terms") govern your access to and use of Stockd, operated by Mintd Ltd ("Mintd", "we", "us", "our"), a company registered in England and Wales under company number 16677272, with our registered office at 82A James Carter Road, Mildenhall, Bury St Edmunds, IP28 7DE.

Stockd (available at stockd.uk) is the company brain for businesses that move physical things. It is sold as two products: Stockd Records, the system of record for a business that has not got one, which is available and is set up on site by Mintd; and Stockd Intelligence, the layer that reads the other systems a business already runs and answers questions about them with the source attached, which is in build and is currently offered to a small number of founding customers.

By registering for a Stockd account, you ("you", "your", "the Customer") confirm that you are entering into a legally binding agreement with Mintd Ltd on behalf of the business you represent. You confirm that you have the authority to bind that business to these Terms.

If you do not agree to these Terms, you must not use Stockd.

2. Definitions

"Stockd" means Stockd (available at stockd.uk) as provided by Mintd, including Stockd Records, Stockd Intelligence, and all features, tools, APIs, connectors and associated services.

"Account" means the workspace created for your business upon registration.

"Authorised Users" means the individuals you permit to access Stockd under your Account.

"Content" means all data, records, photographs, documents, scanned paperwork and other information you or your Authorised Users upload, enter, or generate within Stockd, together with any material Stockd reads from a system, folder or feed you connect to it.

"Fees" means the charges payable by you under your agreement with Mintd, as set out in the written quotation we provide to you.

{{ NEEDS LEGAL REVIEW: The definition above replaces a definition of "Subscription" that named four plans (Starter, Professional, Business and Enterprise) and a free trial period. Those plans do not exist. Stockd is now sold as a fixed quotation given after a site visit, and the commercial shape in the current sales materials is a one-off setup and mapping fee followed by a recurring fee charged per company rather than per user. A solicitor needs to define the commercial terms properly: what the recurring fee covers, its period, how and when it is invoiced, and whether the setup fee is separately defined. Every downstream reference to a "plan", a "subscription" or a "billing period" in these Terms depends on that decision. }}

{{ NEEDS LEGAL REVIEW: A definition of "Asset Provenance Data" stood here, covering timestamped ownership chain records, asset identity records and ledger entries recording the ownership history of physical items. That is Mintd Passport language and it does not describe anything Stockd does. It has been removed here and the clause that relied on it, section 9.3, is marked for the same decision. Confirm the definition should be deleted rather than replaced. }}

3. Eligibility

Stockd is intended exclusively for use by businesses and individuals operating in a professional business capacity. You must be aged 18 or over to create an Account. By registering, you confirm that:

4. Your Account

4.1 Registration

You must provide accurate and complete information when creating your Account. The person completing registration is deemed to be the primary account holder for the business.

4.2 Security

You are responsible for maintaining the security of your Account credentials. You must not share your password with anyone outside your business. You are responsible for all activity that occurs under your Account. You must notify us immediately at hello@stockd.uk if you suspect any unauthorised access to your Account.

4.3 Authorised Users

You are responsible for ensuring your Authorised Users comply with these Terms. Any breach of these Terms by an Authorised User will be treated as a breach by you.

{{ NEEDS LEGAL REVIEW: This clause previously limited the number of Authorised Users to the limit permitted by the customer's plan. Stockd is priced per company and not per user, and the current sales position is that everyone at the customer may use it. Confirm whether any user limit applies, and redraft or delete accordingly. }}

5. Onboarding

{{ NEEDS LEGAL REVIEW: This section set out a 14 day free trial, what it included, what happened at the end of it, and Mintd's discretion to extend it. No free trial is offered. The current route to becoming a customer is a call, a remote demonstration, a site visit, and then a fixed written quotation, and the current sales materials state explicitly that there is no free trial. This section needs to be either deleted or replaced with terms describing the actual onboarding, including what the site visit commits either party to, whether the written quotation is an offer capable of acceptance and for how long it stands, and what the customer owes if they withdraw after work has begun. }}

6. Fees and Payment

Stockd is quoted individually. We give you a fixed price in writing after we have visited your site and understood how your business runs, and that written quotation sets out the Fees payable.

{{ NEEDS LEGAL REVIEW: This section previously listed four named subscription plans at fixed monthly prices (Starter at £99, Professional at £299, Business at £599 and Enterprise at custom pricing), referred to discounted annual plans, and linked to a pricing section at stockd.uk/pricing that no longer exists on the site. None of that is true. The commercial model in the current sales materials is a one-off setup and mapping fee followed by a recurring fee charged per company, both individually quoted. A solicitor needs to draft: what the Fees comprise and how they are structured; when each element is invoiced and when payment falls due; the consequences of late or failed payment; how and with what notice Fees may be increased; and what happens to Fees when the customer moves from Stockd Records to Stockd Intelligence. }}

6.1 Failed payments

If a payment fails, we will attempt to collect payment again. If payment remains outstanding, your Account may be suspended until payment is received. We will notify you by email of any payment failure.

6.2 New features

When new features are added to Stockd, we will notify active customers by email.

6.3 Feature changes or removal

We will give you no less than 14 days' notice before removing or significantly changing any feature that forms part of the service you pay for.

6.4 Availability of Stockd Intelligence

Stockd Intelligence is in build. It is offered to a limited number of founding customers and is not generally available. Nothing in these Terms is a commitment that any particular Stockd Intelligence capability will be delivered, or delivered by any particular date.

The contractual consequences need drafting: what a founding customer is actually buying, what happens to their Fees and their data if a capability is not delivered, whether any service commitment attaches to a product that is in build, and how this interacts with the "as is" warranty disclaimer in section 10.2. }}

7. Ending Your Agreement

{{ NEEDS LEGAL REVIEW: This section set out cancellation and refund terms for monthly and annual subscription plans, including a right to cancel through a billing portal in Account settings. Those plans do not exist and the commercial model has changed to a quoted setup fee plus a recurring fee. A solicitor needs to draft the termination terms that match the real agreement: minimum term if any, notice period on each side, what happens to the setup and mapping fee on early termination, whether any part of it is refundable, and how notice is given. }}

7.1 Data after your agreement ends

Following the end of your agreement, your data will be retained for 30 days to allow you to export your records. After this period, all Account data will be permanently and irreversibly deleted. We strongly recommend exporting your data before your agreement ends.

{{ NEEDS LEGAL REVIEW: Confirm the 30 day export window is still correct, and reconcile it with the retention decisions marked for review in section 7 of the Privacy Policy, in particular the treatment of the append-only audit trail, ingested source documents and page images, and the derived text and embeddings, none of which are ordinary account records. }}

8. Acceptable Use

8.1 Permitted use

Stockd is licensed to you for the purpose of managing your stock, your suppliers and customers, your operational records and the documents that go with them, and for asking questions of that material, in the ordinary course of your legitimate business activities.

8.2 Prohibited use

You must not use Stockd to:

{{ NEEDS LEGAL REVIEW: The last item above is a factual consequence of Stockd Intelligence sending customer material to third-party processors including a large language model provider. It needs redrafting as a proper warranty, with the corresponding allocation of risk if a customer connects material it had no right to connect. }}

8.3 Regulatory compliance

You are solely responsible for ensuring that your use of Stockd complies with all laws and regulations applicable to your business, including but not limited to data protection law and any trade or industry regulations that apply to your sector.

8.4 Suspension for external matters

Mintd reserves the right to suspend or terminate your Account if we become aware of credible information suggesting that you or your business are subject to criminal investigation, prosecution, regulatory action, or sanction by a relevant authority, or if your continued use of the platform would in our reasonable opinion create a legal, reputational, or regulatory risk for Mintd.

8.5 Human approval

Stockd prepares work and proposes actions. It does not act on your behalf without one of your people approving it. Where an agent within Stockd drafts a document, assembles a pack of evidence or proposes a change to a record, a named Authorised User must approve it before it takes effect, and that approval is recorded against them. Stockd does not write into your accounting system or your warehouse system: connections to your own systems are read-only.

You remain responsible for the decisions your people take, including decisions to approve something Stockd has proposed.

{{ NEEDS LEGAL REVIEW: The first paragraph of 8.5 is a description of how the system is built and is enforced in the database rather than by policy. The second paragraph allocates responsibility and is a legal position that we have stated only in outline. It needs proper drafting alongside the accuracy question marked in section 10.2, and it should be checked against the automated decision-making provisions in the Privacy Policy. }}

9. Content and Data Ownership

9.1 Your Content

You retain ownership of all Content you upload or enter into Stockd, including item records, client records, photographs, and documents. Mintd does not claim any ownership rights over your Content.

9.2 Licence to Mintd

By using Stockd, you grant Mintd a limited, non-exclusive, royalty-free licence to store, process, and display your Content solely for the purpose of providing the Stockd service to you. We will not use your Content for any other purpose without your consent.

{{ NEEDS LEGAL REVIEW: This licence was written before Stockd Intelligence existed and does not address artificial intelligence processing at all. It needs to cover, expressly: that Content is transmitted to a third-party large language model provider for processing; whether Mintd commits that Content will not be used to train any model, by us or by any provider, and whether that commitment is absolute; who owns the output the system generates from Content, including extracted structure, findings, proposed actions and the operating map built from a customer's own documents; and whether Mintd may use aggregated or de-identified material derived from Content for any purpose. The system architecture records a standing engineering policy of no fine-tuning, retrieval and structure over a general model, and the current provider is Anthropic. Turning that into a contractual commitment is a decision for you and a solicitor, not something we should draft. }}

9.3 Audit trail and approval records

Stockd records who confirmed a record, who approved a proposed action, and when. Those records are written so that they cannot be altered after the event, because that is what makes them worth having. They are part of your Content and you may export them.

{{ NEEDS LEGAL REVIEW: A clause headed "Asset Provenance Data" stood here. It asserted an indefinite right for Mintd to maintain and use anonymised timestamped ownership chain records, asset identity records and ledger entries as part of a "broader asset verification and institutional infrastructure". That describes Mintd Passport and has no application to Stockd, and asserting a perpetual right over customer-derived data in a Stockd contract is the kind of clause a buyer's accountant will stop at. It has been replaced above with a factual description of the audit trail. A solicitor needs to decide whether any retained right over customer-derived data is wanted at all, and if so to draft it from scratch. The append-only nature of the audit trail also needs reconciling with the right to erasure asserted in section 12 of the Privacy Policy. }}

9.4 Mintd's intellectual property

All intellectual property rights in Stockd, including the platform, software, design, trademarks, and all associated materials, are owned by Mintd Ltd. Nothing in these Terms grants you any rights in or to Mintd's intellectual property other than the limited right to use Stockd in accordance with these Terms.

10. Availability and Service Levels

10.1 Availability

We will use reasonable endeavours to make Stockd available at all times. However, we do not guarantee uninterrupted or error-free access to the platform. We may suspend access for maintenance, updates, or other operational reasons and will endeavour to give reasonable advance notice where possible.

Where Stockd reads from a system you connect to it, that connection depends on the third party operating that system. We are not responsible for that third party's availability, or for changes it makes to how its system may be read.

10.2 No warranty

Stockd is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Mintd makes no warranties, express or implied, regarding the platform, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

{{ NEEDS LEGAL REVIEW: Stockd Intelligence produces answers, findings and proposed actions generated by an artificial intelligence system from a customer's own material, which may be incomplete, misread from a scanned page, or wrong. Nothing in these Terms addresses the accuracy of that output, what reliance a customer may place on it, or who bears the loss if a person approves a proposed action that turns out to be based on a wrong reading. This needs express drafting, and it should be read together with the design position stated in section 8.5 that a named person approves everything before it takes effect. }}

11. Limitation of Liability

11.1 Exclusion of consequential loss

To the fullest extent permitted by applicable law, Mintd shall not be liable for any indirect, incidental, special, consequential, or punitive loss or damage, including but not limited to loss of profits, loss of revenue, loss of business, loss of data, or loss of goodwill, arising out of or in connection with your use of or inability to use Stockd, even if Mintd has been advised of the possibility of such loss.

11.2 Cap on liability

{{ NEEDS LEGAL REVIEW: The liability cap stood here and was expressed as the total subscription fees paid in the 12 months preceding the claim. There are no subscription fees. Under the current model a customer may pay a substantial one-off setup and mapping fee and then a recurring fee, so a cap worded against "subscription fees" is at best ambiguous and at worst unenforceable. A solicitor needs to redraft the cap against the Fees as actually defined, and to decide whether the setup fee counts toward it. We have deliberately not drafted a replacement. }}

11.3 Exceptions

Nothing in these Terms excludes or limits Mintd's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

12. Indemnity

You agree to indemnify, defend, and hold harmless Mintd Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

13. Suspension and Termination

13.1 Termination by you

You may terminate your Account at any time in accordance with Section 7 (Cancellation).

13.2 Suspension or termination by Mintd

Mintd may suspend or terminate your Account immediately and without prior notice if:

13.3 Termination of the platform

In the event that Mintd decides to discontinue Stockd as a service, we will give you no less than 30 days' written notice. We will provide you with a reasonable opportunity to export your data before the platform is closed.

13.4 Effect of termination

Upon termination of your Account for any reason, your right to access Stockd will cease immediately or at the end of the period you have paid for, as applicable. The provisions of these Terms that by their nature should survive termination will continue in full force and effect, including but not limited to Sections 9, 11, 12, and 15.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by email and by displaying a notice within the platform no less than 14 days before the changes take effect. Your continued use of Stockd after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not accept the updated Terms, you must stop using Stockd and end your agreement with us.

{{ NEEDS LEGAL REVIEW: These Terms were re-dated to September 2026 as a whole, because the product description, the definition of the customer and the commercial model have all changed. Confirm that re-dating the whole document is right, and whether the 14 day notice in this section is sufficient for changes of this size to existing customers. }}

15. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

16. General

16.1 Entire agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Mintd relating to your use of Stockd and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

16.3 Waiver

No failure or delay by Mintd in exercising any right under these Terms shall constitute a waiver of that right.

16.4 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Mintd may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.

16.5 Third party rights

These Terms do not create any rights enforceable by third parties under the Contracts (Rights of Third Parties) Act 1999.
